1. Introduction

These Terms & Conditions ("Terms") govern the relationship between MB Creative Studio ("we," "us," "our") and any client ("you," "your," "Client") engaging our services. By instructing us to carry out work, you agree to be bound by these Terms.

2. Services

We provide creative and digital services including but not limited to branding, website design and development, ecommerce development (including Shopify), and creative artwork. The specific scope of work for each project will be outlined in a separate proposal, quote, or statement of work ("Proposal"), which forms part of these Terms.

3. Quotes & Proposals

All quotes are valid for 30 days from the date of issue unless otherwise stated. Any changes to the agreed scope of work may result in revised costs and timelines, to be agreed in writing before proceeding.

4. Payment Terms

  • A deposit of 50% is required before work commences, unless otherwise agreed.

  • Remaining payments will be invoiced according to the schedule set out in the Proposal (e.g. milestone payments, final payment on completion).

  • Invoices are due within 30 days of the invoice date.

  • We reserve the right to pause work on any project where payment is overdue.

5. Client Responsibilities

You agree to provide timely feedback, content, assets, and approvals required for us to complete the work. Delays in providing this information may affect project timelines, and we are not responsible for delays caused by late client input.

6. Revisions

Each Proposal will specify the number of revision rounds included. Additional revisions beyond this may be chargeable at our standard rate.

7. Intellectual Property

  • Upon receipt of full payment, ownership of final approved deliverables (e.g. final logo files, website, artwork) transfers to the Client, unless otherwise agreed.

  • We retain the right to display completed work in our portfolio, case studies, and marketing materials, unless the Client requests otherwise in writing.

  • Any third-party assets used (e.g. stock imagery, fonts, plugins) remain subject to their own licensing terms, and it is the Client's responsibility to maintain any ongoing licences where applicable.

  • We retain ownership of any preliminary concepts, drafts, or unused design work not selected as the final deliverable.

8. Third-Party Platforms & Tools

Where work involves third-party platforms (e.g. Shopify, hosting providers, plugins, apps), the Client is responsible for any associated subscription or licensing fees. We are not liable for changes, downtime, or issues arising from third-party platforms outside our control.

9. Cancellation

Either party may terminate a project with written notice. In the event of cancellation, the Client will be liable for payment of all work completed up to the date of cancellation, including any non-refundable costs incurred on the Client's behalf.

10. Limitation of Liability

We will carry out services with reasonable care and skill. However, to the fullest extent permitted by law, we are not liable for any indirect or consequential loss, including loss of profits, arising from the use of deliverables provided. Our total liability in relation to any project shall not exceed the total fees paid by the Client for that project.

11. Confidentiality

Both parties agree to keep confidential any sensitive business information shared during the course of the project, and not to disclose it to third parties without consent.

12. Force Majeure

Neither party shall be liable for delays or failure to perform obligations due to circumstances beyond their reasonable control.

13. Governing Law

These Terms are governed by the laws of England and Wales, and any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
